1. Use of the Site

1.1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Site.

1.2. Permitted Use

The Site is provided for general informational purposes about Altus Compliance and its services. You may access and use the Site for lawful purposes that comply with these Terms.

1.3. Prohibited Conduct

You agree not to:

• Use the Site in any way that violates applicable federal, state, local, or international law or regulation
• Use the Site to transmit any material that is defamatory, obscene, threatening, or otherwise objectionable
• Attempt to gain unauthorized access to the Site, related systems, or networks
• Use any automated systems (bots, spiders, scrapers) to access the Site without our written permission
• Engage in any activity that interferes with or disrupts the Site or our servers
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without our written permission
• Use the Site to compete with Altus Compliance or to develop a similar service

2. Informational Content; Not Legal or Compliance Advice

2.1. The content available on the Site, including without limitation articles, field guides, checklists, glossaries, assessment tools, and other resources, is provided for general informational purposes only.

2.2. The Site's content does not constitute legal advice, compliance advice, financial advice, or professional advice of any kind. It should not be relied upon as a substitute for the advice of qualified professionals or licensed counsel.

2.3. Affordable housing compliance is complex and circumstance-specific. Decisions about compliance with the Low-Income Housing Tax Credit program, HUD multifamily programs, the Housing Opportunity Through Modernization Act, or any other affordable housing program should be made in consultation with qualified compliance and legal professionals familiar with your specific portfolio and situation.

2.4. Altus Compliance makes no representation or warranty that any information on the Site is current, complete, or applicable to your specific situation. Regulatory requirements change frequently. You are responsible for verifying the applicability of any information to your specific circumstances.

3. Self-Assessment Tools

3.1. The Site offers interactive self-assessment tools, including the HOTMA Readiness Score tool and the Spot the Finding game. These tools are educational and informational only.

3.2. Results from these tools do not constitute a professional compliance assessment, audit, or legal opinion. Results are based on user-provided inputs and should not be relied upon for compliance decisions.

3.3. For a professional compliance assessment specific to your portfolio, please contact Altus Compliance for a formal engagement.

4. Intellectual Property

4.1. All content on the Site, including but not limited to text, graphics, logos, images, designs, software, field guides, articles, methodologies, frameworks, and interactive tools, is the property of Altus Compliance LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

4.2. The names "Altus," "Altus Compliance," "HousingIntellect," "Aria," and any related logos, names, designs, or slogans are trademarks of Altus Compliance LLC. You may not use these trademarks without our prior written permission.

4.3. Limited License

Subject to your compliance with these Terms, Altus Compliance grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. You may download Altus field guides and resources for your own internal use. You may not redistribute, modify, sell, or commercially exploit Altus content without our prior written consent.

4.4. Feedback

Any feedback, suggestions, or ideas you submit to Altus through the Site or other channels may be used by Altus without obligation to you, including for commercial purposes.

5. User Submissions

5.1. The Site allows you to submit information through contact forms, application forms, interactive assessment tools, and newsletter subscriptions. By submitting information, you represent that:

• The information is accurate and not misleading
• You have the right to submit the information
• Your submission does not violate the rights of any third party
• Your submission complies with applicable law

5.2. By submitting information, you grant Altus Compliance a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze the information for purposes of responding to your inquiry, providing requested services, improving our offerings, and conducting our business.

6. HousingIntellect Platform

6.1. HousingIntellect is a separate software platform offered by Altus Compliance LLC, accessible at app.housingintellect.io. Use of the HousingIntellect platform is governed by separate terms of service and a separate privacy policy applicable to that platform.

6.2. These Terms apply only to the altuscompliance.com Site. The HousingIntellect platform has its own user agreement and is not covered by these Terms.

7. Disclaimers

7.1. THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. ALTUS COMPLIANCE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

7.2. WITHOUT LIMITING THE FOREGOING, ALTUS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7.3. ALTUS MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY INFORMATION ON THE SITE, INCLUDING WITHOUT LIMITATION ANY REGULATORY, COMPLIANCE, OR INDUSTRY INFORMATION.

8. Limitation of Liability

8.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ALTUS COMPLIANCE LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SITE, ANY CONTENT ON OR ACCESSED THROUGH THE SITE, OR ANY THIRD-PARTY SERVICES OR CONTENT.

8.2. THIS INCLUDES, WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.3. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8.4. TO THE EXTENT PERMITTED BY LAW, ALTUS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

9.1. You agree to indemnify, defend, and hold harmless Altus Compliance LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

10. Third-Party Links and Services

10.1. The Site may contain links to third-party websites or services that are not owned or controlled by Altus Compliance. Altus has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.

11. Termination

11.1. Altus may terminate or suspend your access to the Site at any time, without notice, for any reason, including without limitation if we believe you have violated these Terms.

11.2. Upon termination, your right to use the Site will cease immediately. Provisions of these Terms that by their nature should survive termination will survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to These Terms

12.1. Altus may revise these Terms from time to time. The most current version will be posted on the Site with the "Last updated" date. By continuing to use the Site after revisions become effective, you agree to be bound by the revised Terms.

13. Governing Law and Dispute Resolution

13.1. These Terms and any action related to them shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

13.2. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and the parties hereby consent to the exclusive jurisdiction and venue of such courts.

13.3. You and Altus agree to first attempt to resolve any dispute through good faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, the dispute shall be resolved exclusively in the courts identified above.

14. General

14.1. Entire Agreement

These Terms constitute the entire agreement between you and Altus regarding your use of the Site and supersede all prior agreements.

14.2. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.

14.3. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.4. Assignment

You may not assign or transfer these Terms without our prior written consent. Altus may assign or transfer these Terms freely.
